Access and Use of the Services
Services Description: The Services are offered as a platform to users of the Services, which may include Project Organizers and Donors (each defined herein), entrants to Promotions (defined below) and other registered and unregistered users of the Services (which may include users who simply “like” or “heart” Projects or otherwise interact with the Platform or Services). Among other features, the Services are designed to allow a user (a “Project Organizer”) to post a fundraising project (“Project”) to the Platform to accept monetary donations (“Donations”) from those registered users wishing to contribute funds to the Project (“Donors”). For purposes hereof, the term “Project Organizer” shall also be deemed to include any individual(s) designated as a beneficiary of a Project. Although there are no fees to set up a Project, industry-standard payment processing fees apply to each Donation. To learn more about CrowdFundIt’s Platform and applicable payment processing fees, visit https://www.crowdfundit.live/pricing.
Charitable Giving: You understand and acknowledge that CrowdFundIt is not a professional charitable organization, notwithstanding any affiliates that may qualify for 501(c)(3) status, and Projects are not charities to which you can make tax-deductible charitable contributions. However, in addition to the Services described above, CrowdFundIt permits Donors to contribute directly to certain charitable causes or organizations (“Charities”) through the Platform. Any donation you make to a Charity through the Platform will be subject to a Services fee as described at https://crowdfundit.live/pricing. If you or your charity would like to register to be listed as a charitable organization on the Platform, please contact us at firstname.lastname@example.org and we can help facilitate that process. As used in this Agreement, the term “Project” does not refer to a Charity, and you acknowledge that contributions to Projects are not deductible under your jurisdiction’s applicable tax laws and regulations.
The Services are a Platform; We are not a Broker, Financial Institution, Creditor or Charitable Institution: The Services are an software platform only. CrowdFundIt facilitates the Donation transaction between Project Organizers and Donors, but is not a party to any agreement between a Project Organizer and a Donor, or between any user and a Charity. CrowdFundIt is not a broker, agent, financial institution, creditor or insurer for any user. CrowdFundIt has no control over the conduct of, or any information provided by, a Project Organizer, a Charity or any other user, and CrowdFundIt hereby disclaims all liability in this regard to the fullest extent permitted by applicable law.
All information and content provided by CrowdFundIt through the Services is for informational purposes only, and CrowdFundIt does not guarantee the accuracy, completeness, timeliness or reliability of any such information or content. Before making any decisions regarding any Projects, Charities, Donations, Donors, users or any products, services, information or content relating to the Services, you should consult your financial, legal, tax advisers or other professional advisor as appropriate. You acknowledge that all information and content accessed by you using the Services is at your own risk.
CrowdFundIt does not guarantee that a Project or a Charity will obtain a certain amount of Donations or any Donations at all. We do not personally endorse any Project, Project Organizer, or Charity, and we make no guarantee, explicit or implied, that any information provided through the Services by a user is accurate. We expressly disclaim any liability or responsibility for the success of any Project, or the outcome of any fundraising purpose. You, as a Donor, must make the final determination as to the value and appropriateness of contributing to any Project, Project Organizer, or Charity.
All Donations are at your own risk. When you make a Donation to a Project or Charity, or otherwise through the Services, it is your responsibility to understand how your money will be used. CrowdFundIt is not responsible for any offers, promises, rewards or promotions made or offered by Charities, Projects or Project Organizers. We do not and cannot verify the information that Project Organizers supply, nor do we guarantee that the Donations will be used in accordance with any fundraising purpose prescribed by a Project Organizer or Charity. We assume no responsibility to verify whether the Donations are used in accordance with any applicable laws; such responsibility rests solely with the Project Organizer or Charity, as applicable. While we have no obligation to verify that the use of any funds raised is in accordance with applicable law and these Terms of Service, we take possible fraudulent activity and the misuse of funds raised very seriously. You can learn more about our Fraud Policy at http://www.crowdfundit.live/safety. If you have reason to believe that a Project Organizer or Charity is not raising or using the funds for their stated purpose, please use the “Report” button on the Project or Charity to alert our team of this potential issue and we will investigate. If you are a donor, you may also be covered by the CrowdFundIt Guarantee. Policy details are located at https://www.crowdfundit.live/guarantee-refund-policy.

You agree that CrowdFundIt has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded by the Services. You acknowledge that CrowdFundIt reserves the right to terminate accounts or Projects that are inactive for an extended period of time, provided that CrowdFundIt will use its commercially reasonable efforts to provide a Project Organizer with reasonable notice before terminating an inactive Project having a positive balance of Donations. You further acknowledge that CrowdFundIt reserves the right to change these general practices and limits at any time, in its sole discretion. We will endeavor to give you notice of any such change where required by applicable law.

We may share any information related to your use of the Services with the appropriate financial institution, regulatory authority, or law enforcement agency consistent with our legal obligations. This information may include information about you, your account, your Donors, your Donations, and transactions made through or in connection with your use of the Services.
Donations: In order to contribute to a Project or to a Charity, a Donor will be required to provide CrowdFundIt information regarding its credit card or other payment instrument (“Payment Instrument”) that is linked to the Donor’s account on the Services (a “Billing Account”) if applicable. You, as a Donor, represent and warrant to CrowdFundIt that such information is true and that you are authorized to use the applicable Payment Instrument. You agree that a certain minimum Donation amount may apply, and that all Donation payments are final and will not be refunded unless CrowdFundIt, in its sole discretion, agrees to issue a refund, for example in accordance with the CrowdFundIt Guarantee. CrowdFundIt uses third-party payment processing partners to bill you through your Payment Instrument and Billing Account for any Donations made, and Donors acknowledge that by contributing a Donation to a Project, the Donor is agreeing to any and all applicable terms set forth by our payment partners (currently, WePay, Inc., Stripe, Inc., Hubtel, Ltd, PayPal, Inc., and MTN Mobile Money), in addition to these Terms of Service, including WePay’s terms of service, Stripe’s terms of service, Hubtel’s terms of service, PayPal’s terms of service, and MTN Mobile Money’s terms of service. CrowdFundIt’s payment partner in Ghana is Hubtel Limited. Hubtel contracts with CrowdFundIt’s Ghana entity, CrowdFundIt.live, which entity is the contracting party responsible for transaction processed for the Ghanaian user.
Recurring Donations: Donors may have the option to contribute recurring period Donations (your agreement to make the Donations on a recurring basis, a “Donation Subscription” and each individual Donation made in connection with a Donation Subscription, a “Donation Installment”), and in electing to contribute on a recurring basis, you, as a Donor hereby acknowledge that Donation Subscriptions automatically renew and have a recurring payment feature, and that unless and until you opt out of the auto-renewal of the Donation Subscription, which can be done through the Platform, any Donation Subscriptions you have signed up for will be automatically extended for successive renewal periods of the same duration as the initial term originally selected. In connection with each of your Donation Subscriptions, you (i) hereby authorize CrowdFundIt to bill your Payment Instrument in the amount of the applicable Donation Installments in advance on a periodic basis until you terminate such periodic payments by opting out of the Donation Subscription, (ii) accept responsibility for payment of all Donation Installments occurring prior to opt out and (iii) agree to promptly update your Billing Account with any changes (for example, any changes related to your Payment Instrument, such as a change in your billing address or credit card expiration date). Changes to or termination of Donation Subscriptions or Donation Installments will apply only to Donation Installments that take place after CrowdFundIt receives notice of such change or termination. CrowdFundIt does not provide refunds of any amounts received in connection with previously made Donation Installments. Additionally, by enrolling in any Donation Subscriptions, you acknowledge and agree for any and all such Donation Subscriptions, that (a) the ongoing maintenance and operation of Donation Subscriptions and each Donation Installment are the sole responsibility of, and subject to the sole discretion of, the individual or entity responsible for managing and receiving the Donation Subscription (e.g., the applicable Project Organizer or Charity), (b) individual Donation Installments may not be tax deductible, even if previous Donation Installments for the same Donation Subscription were, and the amount of each Donation Installment that is tax deductible may vary, (c) one or more specific Donation Installment may not be provided to or received by the applicable cause, charity or Project if such cause, charity or Project becomes unavailable, unable to accept Donations, or chooses to stop receiving Donations, which may occur for various reasons, such as if the cause, charity or Project becomes subject to an investigation or is suspended or removed from the Services by CrowdFundIt or (d) the amounts actually received by the applicable Project, Charity or cause may differ from one Donation Installment to the next (for example, if the processing fees associated with the Donation Installment change).
Your non-termination of a Donation Subscription reaffirms that CrowdFundIt is authorized to charge your Payment Instrument for the Donation Subscription in accordance with these terms. This does not waive our right to seek payment directly from you.
Account Holds: From time to time, CrowdFundIt may place a hold on a Project account (a “Hold”), restricting Withdrawals (defined herein) by a Project Organizer. Some of the reasons that we may place a Hold on a Project Account include the following: (i) if we have reason to believe (in our sole discretion) that information provided by a Project Organizer is false, misleading, or fraudulent, or that funds are being used in a prohibited manner, (ii) if the funds available (as determined by CrowdFundIt in its sole discretion) should be provided directly to a person other than the Project Organizer (such as a legal beneficiary or person entitled by law to act on behalf of a Project Organizer), (iii) if we have reason to believe that a Project or Project Organizer has violated these Terms of Service, or (iv) if CrowdFundIt determines that the Project Organizer is colluding with donors to engage in fraudulent activity, (v) if we have reason to believe (in our sole discretion) that there may be suspicious or fraudulent donation activity, (vi) if required in order to comply with a court order, subpoena, writ, injunction, or as otherwise required under applicable laws and regulations. If you have questions about a Hold we may have placed on your Project account, or need information about how to resolve the Hold, please contact us at firstname.lastname@example.org.
Rewards: Reward Levels are not intended to be items available for purchase and CrowdFundIt cannot guarantee the delivery of Reward Levels in any way.
Withdrawing Donations from a Project: You, as a Project Organizer (or, as applicable, the beneficiary designated by the Project), may withdraw Donations to your Project at any time up to the full amount of all Donations credited to your Project, less any applicable fees and any previously withdrawn amounts (“Withdrawals”) and subject to any Holds that we or our payment partners may place on your Project account. A Project Organizer may withdraw Donations by electronic wire transfer to your bank account or by receipt of a paper check in certain cases. While CrowdFundIt strives to make Withdrawals available to you promptly, you acknowledge and agree that Withdrawals may not be available to you for use immediately, and CrowdFundIt does not guarantee that Withdrawals will be available to you within any specific time frame, and CrowdFundIt expressly disclaims any and all responsibility for any delay or inability to access and use Withdrawals at any specified time, and any consequences arising from such delay or inability. You, as a Project Organizer, are responsible for ensuring that the information you provide to CrowdFundIt in order to process a Withdrawal, including your bank account information, is accurate and up to date. CrowdFundIt may, at any time, for any reason, and in its sole discretion, offer or issue a refund of donation(s) with or without consulting with you, which may comprise the entire amount donated to your project. CrowdFundIt is not responsible for any consequences caused by CrowdFundIt issuing refunds, including, but not limited to transaction or overdraft fees. You also acknowledge that CrowdFundIt is not liable to compensate you in any way for any loss.
Special Notice for International Use; Export Controls: Software (defined below) available in connection with the Services and the transmission of applicable data, if any, may be subject to export controls and economic sanctions laws of Ghana or other jurisdictions. No Software may be downloaded from the Services or otherwise exported or re-exported in violation of such export control and economic sanctions laws. Downloading or using the Software is at your sole risk. The primary purpose of the standards is to maintain controls around cardholder data to reduce credit card fraud. As a service provider, CrowdFundIt payment gateway providers are PCI DSS compliant and will maintain all applicable PCI DSS requirements to the extent that they possess or otherwise store, process, or transmit cardholder data on behalf of CrowdFundIt and you, or to the extent that they can in any way impact the security of your cardholder data environment.
Copyright Complaints: CrowdFundIt respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify CrowdFundIt of your infringement claim in accordance with the procedure set forth below.
CrowdFundIt will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws with respect to any alleged or actual infringement. A notification of claimed copyright infringement should be emailed to CrowdFundIt’s Copyright Agent at email@example.com (Subject line: “DMCA Takedown Request”). To be effective, the notification must be in writing and contain the following information:
an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
a description of the copyrighted work or other intellectual property that you claim has been infringed;
a description of where the material that you claim is infringing is located on the Services, with enough detail that we may find it on the Services;

a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
Counter-Notice: If you believe that your User Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to upload and use the content in your User Content, you may send a written counter-notice containing the following information to the above-listed Copyright Agent:
your physical or electronic signature;
identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
a statement that you have a good-faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and
your name, address, telephone number, and email address, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
If a counter-notice is received by the Copyright Agent, CrowdFundIt will send a copy of the counter-notice to the original complaining party, informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at our sole discretion.
Repeat Infringer Policy: In accordance with the DMCA and other applicable law, CrowdFundIt has adopted a policy of terminating, in appropriate circumstances and at CrowdFundIt’s sole discretion, users who are deemed to be repeat infringers. ARBITRATION CLAUSE & CLASS ACTION WAIVER – IMPORTANT – PLEASE REVIEW AS THIS AFFECTS YOUR LEGAL RIGHTS
Arbitration; Waiver of Trial by Jury. YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND US OR ANY OF OUR OFFICERS, DIRECTORS OR EMPLOYEES ACTING IN THEIR CAPACITY AS SUCH (WHETHER OR NOT SUCH DISPUTE INVOLVES A THIRD PARTY) WITH REGARD TO YOUR RELATIONSHIP WITH US, INCLUDING WITHOUT LIMITATION DISPUTES RELATED TO THESE TERMS OF SERVICE, YOUR USE OF THE SERVICES, AND/OR RIGHTS OF PRIVACY AND/OR PUBLICITY, WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION UNDER THE GHANA ABITRATION CENTER. (“GAC”) RULES FOR ARBITRATION OF CONSUMER-RELATED DISPUTES, AND YOU AND WE HEREBY EXPRESSLY WAIVE TRIAL BY JURY; PROVIDED, HOWEVER, THAT WE OR YOU MAY SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN ANY STATE OR FEDERAL COURT HAVING JURISDICTION TO GRANT IT IN THE EVENT OF AN ACTUAL OR THREATENED INFRINGEMENT OR MISAPPROPRIATION OF INTELLECTUAL PROPERTY RIGHTS. DISCOVERY AND RIGHTS TO APPEAL IN ARBITRATION ARE GENERALLY MORE LIMITED THAN IN A LAWSUIT, AND OTHER RIGHTS THAT YOU AND WE WOULD HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION.
Small Claims Court; Class Action Waiver. As an alternative, you may bring your claim in your local “small claims” court, if permitted by that small claims court’s rules and if within such court’s jurisdiction, unless such action is transferred, removed or appealed to a different court. You may bring claims only on your own behalf. Neither you nor we will participate in a class action or class-wide arbitration for any claims covered by this agreement to arbitrate. YOU ARE GIVING UP YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST US INCLUDING WITHOUT LIMITATION ANY RIGHT TO CLASS ARBITRATION OR ANY CONSOLIDATION OF INDIVIDUAL ARBITRATIONS. You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another person’s account, if we are a party to the proceeding.
Procedures. These dispute resolution provisions will be governed by the National Arbitration Act and not by any state law concerning arbitration. In the event that GAC is unwilling or unable to set a hearing date within one hundred and sixty (160) days of filing the case, then either we or you can elect to have the arbitration administered instead by the community leaders. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies or awards that conflict with these Terms of Service. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of the Services or these Terms of Service must be filed within one (1) year after such claim of action arose or be forever banned.
30-Day Opt-Out Period. If you do not wish to be bound by the arbitration and class-action waiver provisions in this Disputes section, you must notify us in writing within thirty (30) days of the date that you first accept these Terms of Service (unless a longer period is required by applicable law), and then you must litigate any disputes against us in accordance with the Governing Law and Jurisdiction section below. Your written notification must be mailed to us at the address set out at the end of these Terms of Service. If you do not notify us in accordance with this paragraph, you agree to be bound by the terms of this Disputes section, including without limitation the arbitration and class-action waiver provisions, and further including such provisions in any revisions we make to these Terms of Service after the date of your first acceptance. Such notification must include: (i) your name; (ii) your email and mailing address, and (iii) a statement that you do not wish to resolve disputes with us through arbitration or waive your ability to participate in a class action. If we make any changes to this Disputes section (other than a change to the address at which we will receive notices or rejections of future changes to this Disputes section), you may reject any such change by sending us written notice, within thirty (30) days of the change, to the address set out at the end of these Terms of Service. It is not necessary to send us a rejection of a future change to this Disputes section if you had properly opted out within the first thirty (30) days after you first accepted the provisions in this Disputes section. If you have not properly opted out, then by rejecting a future change, you are agreeing that you will arbitrate any dispute between us in accordance with the language of this Disputes section, as modified by any changes you did not reject. A notification sent pursuant to this paragraph solely affects these Terms of Service; if you previously entered into other arbitration or dispute resolution agreements with us or enter into other such agreements in the future, your notification that you are opting out of the provisions in this Disputes section shall not affect the other arbitration agreements between you and us.
Severability. If any of the prohibitions against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Disputes section will be null and void. This Disputes section, including without limitation the arbitration agreement and class action waivers contained herein, will survive the termination of your relationship with us.
Notwithstanding any provision in these Terms of Service to the contrary, we agree that if CrowdFundIt makes any future change to this arbitration provision (other than a change to the Notice Address) while you are a user of the Services, you may reject any such change by sending us written notice within thirty (30) calendar days of the change to the Arbitration Notice Address provided above. By rejecting any future change, you are agreeing that you will arbitrate any dispute between us in accordance with the language of this provision. The provisions of this arbitration agreement shall only be in effect to the extent they are permitted under applicable laws. If the JAMS Rules cannot be applied to an arbitration under applicable law, then the rules of the local governing arbitration body shall apply instead.
You agree that CrowdFundIt, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Services and remove and discard any content within the Services under reasonable circumstances, including, without limitation, for lack of use or if CrowdFundIt believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination of your use of Services, may be referred to appropriate law enforcement authorities. You agree that any termination of your access to the Services under any provision of these Terms of Service may be effected without prior notice, and acknowledge and agree that CrowdFundIt may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Services where such deactivation or deletion is permitted under these Terms of Service. Further, you agree that CrowdFundIt will not be liable to you or any third party for any termination of your access to the Services.
You agree that you are solely responsible for your interactions with any other user in connection with the Services and CrowdFundIt will have no liability or responsibility with respect thereto. CrowdFundIt reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Services.
These Terms of Service constitute the entire agreement between you and CrowdFundIt and govern your use of the Services, superseding any prior agreements between you and CrowdFundIt with respect to the Services. You also may be subject to additional terms and conditions that may apply when you use affiliate or third-party services, third-party content or third-party software. These Terms of Service will be governed by the laws of the State of California without regard to its conflict of law provisions. With respect to any disputes or claims not subject to arbitration, as set forth above, you and CrowdFundIt agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within San Mateo County, California. The failure of CrowdFundIt to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be (or are otherwise) invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You may not assign these Terms of Service without the prior written consent of CrowdFundIt, but CrowdFundIt may assign or transfer these Terms of Service, in whole or in part, without restriction. If we fail to enforce any of our rights, that does not result in a waiver of that right. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect. Notices to you may be made via either email or regular mail. The Services may also provide notices to you of changes to these Terms of Service or other matters by displaying notices or links to notices generally on the Platform.
